Terms of Service

To use NivoaFlow, you must:

• Age Requirement: Be at least 18 years of age, or the age of majority in your Canadian province or territory of residence, whichever is greater.
• Legal Capacity: Have the legal capacity to enter into a binding contract.
• Accurate Information: Provide accurate, current, and complete information during registration and keep your account information updated.
• Sanctions Compliance: Not be located in, or a resident of, any country subject to Canadian trade sanctions, and not be listed on any Canadian government list of prohibited or restricted parties.
• No Prior Termination: Not have been previously banned or had your account terminated by NivoaFlow for violation of these Terms.

Geographic Scope: NivoaFlow is designed for and marketed to Canadian residents. We do not specifically target users in the European Union, United Kingdom, California, or other jurisdictions with specialized data protection regimes (such as GDPR or CCPA). If you access NivoaFlow from outside Canada, you do so at your own initiative and are responsible for compliance with local laws.

Account Responsibility: You are solely responsible for all activities that occur under your account. NivoaFlow is not liable for any loss or damage arising from your failure to maintain account security.

We may offer free trials or promotional pricing from time to time:

• Trial Period: Free trials provide temporary access to premium features. At the end of the trial, your subscription will automatically convert to a paid subscription unless cancelled.
• One Per User: Free trials are limited to one per user. We may verify eligibility and cancel trials obtained through deceptive means.
• Promotional Codes: Promotional codes are non-transferable, cannot be combined with other offers, and must be redeemed before the expiration date.
• Beta Features: Beta or early access features are provided without warranty. We may modify or remove beta features at any time without notice.

NivoaFlow and its licensors own all rights, title, and interest in and to the service, including but not limited to:

• The NivoaFlow name, logo, and brand elements.
• The software, code, algorithms, and technical infrastructure.
• The user interface design, graphics, and visual elements.
• Documentation, help content, and marketing materials.
• Any improvements, modifications, or derivative works.

These Terms grant you a limited, non-exclusive, non-transferable license to use the service for personal, non-commercial purposes. This license does not include any right to:

• Modify, copy, or create derivative works based on the service.
• Use our trademarks without prior written consent.
• Remove or alter any proprietary notices or labels.

NivoaFlow integrates with and may contain links to third-party services:

NivoaFlow is not responsible for the content, privacy policies, or practices of third-party services. Your use of third-party services is at your own risk.

Availability: We strive to maintain high service availability but do not guarantee uninterrupted access. The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

Modifications: We reserve the right to modify, update, or discontinue any feature or aspect of the service at any time. For material changes affecting paid features, we will provide reasonable advance notice.

Third-Party Dependencies: Service availability depends on third-party providers (Plaid, cloud infrastructure, etc.). We are not liable for outages or issues caused by these providers.

Data Accuracy: While we strive for accuracy, we do not guarantee that transaction data, account balances, or other information imported from external sources is complete, accurate, or current.

Effect of Termination: Upon termination, all licenses granted to you under these Terms immediately cease. Sections that by their nature should survive termination will survive (including but not limited to: Limitation of Liability, Indemnification, and Dispute Resolution).

Informal Resolution: Before initiating any formal dispute resolution proceeding, you agree to first contact us at support@nivoaflow.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

Governing Law: This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Jurisdiction: Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the courts of the Province of Ontario, Canada, and each party irrevocably submits to the jurisdiction of such courts.

Class Action Waiver: To the extent permitted by law, you agree to resolve any disputes on an individual basis and waive any right to bring or participate in a class action, collective action, or representative action. Note: This waiver may not apply or may be limited in certain Canadian provinces, including Quebec.

Time Limitation: Any claim or cause of action arising out of or relating to this Agreement or the service must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and NivoaFlow regarding the service and supersede all prior agreements and understandings.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force Majeure: NivoaFlow shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.

Notices: We may provide notices to you via email, in-app notification, or by posting on our website. Notices to us should be sent to legal@nivoaflow.com.

Language: These Terms are written in English. Any translation is provided for convenience only, and the English version shall govern in case of any conflict.
